  • What is Company Key?
    As of October 19, 2021, Service Ontario issued the notice that every Ontario corporation MUST obtain a company key to access the corporation. This implies, without corporation key, you won't be able to do any change nor any filing on your corporation. Please Click here to Sample
  • File Initial Return for Your Corporation

  • Filing Ontime?
    Applicable only for Ontario and Quebec corporations that were registered in last 60 days. If you corporation is older than 60 days, please order for a late initial return.
  • Filing Late?
    Applicable for Ontario & Quebec corporations that were registered before 60 days from now, i.e. corporation's age is more than 60 days and yet initial return was not filed.
  • Guidelines

  • why Initial return filing is mandatory?
    If you have incorporated in Ontario you are required to file a Form 1, Initial Return, within the first 60 days. Corporations must complete and submit an Initial Return to the Ontario Ministry within 60 days after the date of incorporation. Failure to file Initial Return causes the dismiss of the corporation. In our experience, we have found so many corporation get voided because corporation owners forget to register Initial Return. Therefore, we recommend you to purchase it with the package.
  • Is it same as Annual Return?
    No, Initial Return is different than Annual Return:
    Initial Return: Corporations must complete and submit an Initial Return to the Government within 60 days after the date of incorporation. Failure to file Initial Return causes the dismiss of the corporation.
    Annual Return: Every Corporation must file a yearly Annual Returns within two months of its anniversary date of incorporation.
  • Late Initial Return?
    If you have forgotten to file your Initial Return and your corporation is older than 60 days, you may still file initial return and save your corporation from being dismissed. As an agency, we can still file it to government.

  • What is an officer?
    Anybody including an employee can be an officer to the corporation. It's not as important as of director. It's changeable later at any time.
  • What designation to choose?
    Any designation is fine. It's more important for a big corporation. It's changeable later.
  • Can same person be in many roles?
    Yes, same person can be director, incorporator, officer, and shareholder. Most new corporation starts in that manner and changes when it grows bigger.

  • Type of Change or Update

  • The more changes you do in the corporation, the more cost will incur. We have lawyers, accountants and registry agents who will work together to complete the required tasks for these changes. These changes may require government fees which are included in the price.
  • To perform any change on director(s) or shareholder(s), a resolution document is required. You do not need to provide it, our lawyers will prepare it for you.

  • What is legal name change?
    A legal name change can occur because of weeding or name correction. Please note, for a legal name change, a consent letter is required, which will be prepared by us and to be sent to you by email for signature.
  • Why there is cost?
    Government allows to do certain update on the corporation along with annual returns filing. Many of these updates involve with additional government fees and legal work such as preparation of director's resolution or shareholder's resolution etc.
  • Corporation's address change?
    If you corporation's registered address or mailing address has changed, you may update it together with annual returns.
  • Other changes on director?
    It can be adding or removing a director or a residency status or address change.
  • Other updates on shareholder?
    It can be adding or removing a shareholder or a shareholder's address change.
  • Redistribution of shares?
    To re-distribute the outstanding shares among the shareholders, a Shareholder Agreement will be prepared by our lawyer and will be provided to you for signature of all shareholders. The price includes the legal fees.

  • Name change letter?
    When a corporation's director's name gets changed (because of marriage or divorce or legal name change etc.), a name change request letter is required. We will prepare the letter and send it to your email. Please sign it and send the scan copy or picture copy in our email.

    Technically and legally speaking, you can't replace a director. It implies, you can remove certain director(s) and add certain director(s). The corporation's records will show all these information as history.
  • Should I list existing director(s)?
    No. You need to add here only the additional director(s) you are adding. We will add the additional director along with existing director(s). We will also review your order, after we have received it.
  • How many director(s) I can add?
    You can add maximum of 5 additional director(s) on this form. Please note, the total number of director(s) can't be more than 10. If you want to add more than 5 director(s), please give us a call.

    The address of a director can be in any province in Canada or even outside of Canada. It must be a physical address (not a PO Box). The address must be complete including the postal code.

  • What is residency status change?
    A director who's immigration status got updated from "foreigner" (non-resident) to a Permanent resident or Citizen, must update their residency status in corporation papers.

  • How to put share in percentage?
    Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.
